Terms of Service

1. Agreement to Terms

Serenities AI™ is operated by Serenities Inc ("Serenities AI," "we," "our," or "us"). By accessing or using Serenities AI™ ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Serenities AI is an AI platform that builds and runs things for you. With it you can:

• Build and publish websites and apps by asking AI, and have them hosted, including on your own domain
• Create AI agents and automations that do work for you when you ask, on a schedule or when something happens
• Connect the services and apps you already use, and let Serenities AI and your agents act in them for you
• Keep your data in tables and files, and add ready-made apps and templates from our marketplace
• Invite teammates to your workspace and choose what each person may do

What you can use, and how much, depends on your plan.

3. Account Registration

To access certain features of the Service, you must register for an account. When you register:

• You must provide accurate, complete, and current information
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized access or security breach
• You must be at least 13 years old to use the Service

4. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Generate, distribute, or facilitate illegal, harmful, or offensive content
• Engage in any form of harassment, abuse, or threatening behavior
• Attempt to bypass or circumvent security measures or usage limits
• Use the Service for unauthorized data mining or scraping
• Interfere with or disrupt the Service or servers
• Impersonate any person or entity or misrepresent your affiliation
• Transmit viruses, malware, or other malicious code
• Use the Service to develop competing products or services
• Reverse engineer, decompile, or disassemble any part of the Service

5. AI Usage, Actions, and Limitations

When using our AI features, you understand and agree that:

• AI responses are generated automatically and may not always be accurate or appropriate
• You should verify important information independently before relying on it
• AI should not be used as a substitute for professional advice (legal, medical, financial, etc.)
• You are responsible for reviewing and approving AI-generated content before use
• AI credits and other usage are subject to the limits of your plan (see section 6)

AI Actions and Data Operations

IMPORTANT: Our AI agents can perform actions on your behalf when you authorize them, including but not limited to:

• Creating, modifying, or deleting files and data in connected applications
• Creating, changing, or deleting your tables, files, pages, code and settings in Serenities AI
• Sending emails, messages, or other communications, and publishing posts
• Making changes to databases, spreadsheets, and documents
• Executing workflows and automations
• Interacting with third-party services on your behalf

We strongly recommend:

• Testing AI actions in non-production environments first
• Maintaining regular backups of all critical data
• Using version control for important documents and code
• Setting up appropriate access restrictions in connected applications
• Monitoring AI actions and maintaining audit logs

AI Output Can Be Wrong

AI can produce answers, text, code, designs and data that are wrong, incomplete, out of date or unsuitable. You are responsible for reviewing anything AI produces before you rely on it, publish it, send it or run it.

You are solely responsible for reviewing, testing and validating all AI Output and every action taken by AI before you use, deploy, publish, send or share it, and for its effect on anyone you share it with.

AI Output is not medical, legal, financial or other professional advice. Do not rely on it as such.

AI Output may not be unique; similar output may be provided to others. Check any factual claim before relying on it.

AI Can Change or Delete Things, Including by Mistake

AI agents, automations, and the built-in or connected AI can change or delete your data (tables, files, pages, code, settings, posts, emails) and take actions in connected services. They can do this by mistake, or in a way you did not intend. Keep a person in the loop for important actions, give AI and automations only the access they need, and keep your own backups of anything you cannot afford to lose.

Whose AI You Use

You can use the AI that Serenities AI provides, your own AI provider key, an AI app of your choice connected to Serenities AI, and other third-party AI services. We do not control third-party AI. What it produces and what it does in your account or in connected services is your responsibility.

We are not responsible for third-party AI models, connectors, MCP servers, integrations or the services they connect to, including their output, availability, data handling or actions.

What We Provide to Help

We give you some safeguards. They help, but they do not replace your own backups and your own review:

• Each site has a history of its versions that you can restore. We keep the latest 100 versions, plus every version from the last 30 days, whichever is more.
• Some risky changes to functions and the rules that protect them, when proposed by AI or by an API key, wait for a person to approve them. Once such a change is applied, it can be undone for 7 days.

Our Responsibility for AI

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY LOSS OR DAMAGE THAT RESULTS FROM AI-GENERATED CONTENT OR FROM ACTIONS TAKEN BY AI, WHETHER THE AI IS PROVIDED BY US OR BY A THIRD PARTY, AND WHETHER OR NOT YOU AUTHORIZED THE ACTION. THIS IS IN ADDITION TO, AND SUBJECT TO, SECTION 11 (LIMITATION OF LIABILITY).

6. Subscription and Payment

Subscription Plans

Our Service offers subscription plans with different features and usage limits. By subscribing:

• You agree to pay all fees according to your selected plan
• Subscriptions automatically renew unless cancelled
• You can cancel your subscription at any time
• Fees are non-refundable, including for partial billing periods (see Refunds below)

Refunds

Subscription fees are non-refundable, including for partial billing periods and renewals. You can cancel at any time, and your plan stays active until the end of the current billing period.

• We review such cases individually, and any refund is granted at our sole discretion
• These terms do not override any non-waivable cancellation or refund rights you may have under applicable law

AI Credits and Usage

Building with AI spends AI credits. Each plan includes a number of AI credits every month. Your plan's credits reset every month, and unused plan credits do not roll over. You can buy more AI credits at any time. Credits you buy never expire. Bonus credits, such as the extra credits that come with a pack, are free and expire on the date shown in your account; bonus credits that come with a pack expire 12 months after you receive them. When you use AI, bonus credits are used first, then your plan's monthly credits, then the credits you bought.

AI credits, including bought credit packs, bonus credits and any balance you add, are non-refundable, except where the law requires otherwise.

Plans also include limits for other things, such as storage, bandwidth, functions, automations and email. They are shown on our pricing and limits pages. What happens when you reach a limit:

• We email you as you approach and reach a limit.
• At 100%, that one thing stops until your plan renews, unless you are on a paid plan and have switched on extra usage.
• Extra usage is off until you turn it on. It is paid from the account balance you added yourself, or from an automatic top-up (auto-reload) of the amount you chose.
• Your existing files and data are not deleted when you reach a storage limit. New uploads and new rows are refused until you free up space, add more, or upgrade.
• On the free plan you can buy AI credits but not extra cloud usage.

Marketplace Purchases and Refunds

The Serenities AI Marketplace lets you buy templates, themes, and add-ons created by us. Because these items are delivered digitally and copied into your project the moment you install them, all marketplace purchases are final and non-refundable.

• If a purchased item is broken, non-functional, or significantly not as described, contact us at support@serenitiesai.com. We review such cases individually, and any refund is granted at our sole discretion.
• If a refund is issued, your license to that item is revoked and you must stop using it, including removing any content it added to your project.

7. Third-Party Integrations

The Service allows you to connect third-party applications ("Integrations"). You acknowledge that:

• You are responsible for your use of Integrations
• Each Integration has its own terms of service and privacy policy
• We are not responsible for the functionality or security of third-party services
• You grant us permission to access Integrations on your behalf
• We store encrypted credentials to maintain your connections

8. Intellectual Property

Our Property

The Service and its original content, features, and functionality are owned by Serenities AI and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content

You retain ownership of content you submit to the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content solely for the purpose of providing and improving the Service.

AI-Generated Content

Content generated by our AI in response to your prompts belongs to you, subject to applicable law and third-party rights. You are responsible for ensuring your use of AI-generated content complies with all applicable laws and regulations.

9. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our collection and use of information as described in the Privacy Policy. We are committed to protecting your data with industry-standard security measures.

10. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The results obtained from the Service will be accurate or reliable
• Any errors in the Service will be corrected
• The Service will meet your specific requirements

AI Output is provided AS IS. We do not warrant that AI Output will be accurate, complete, secure, reliable, non-infringing or fit for any purpose, and we are not responsible for errors in it.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERENITIES AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or alteration of your data
• Statements or conduct of any third party on the Service
• Any interruption or cessation of the Service
• Any bugs, viruses, or other harmful code transmitted through the Service
• Any errors or omissions in any content

Our total liability for all claims combined (the AGGREGATE) shall not exceed the amount paid by you to us in the past twelve (12) months. These limits apply regardless of the legal theory (contract, tort including negligence, or otherwise), even if we were advised of the possibility of such damages. Section 5 explains why we are also not liable for AI-generated content or AI-performed actions.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (such as liability for fraud, gross negligence or wilful misconduct, or death or personal injury caused by negligence).

12. Indemnification

You agree to indemnify, defend, and hold harmless Serenities AI, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your violation of these Terms
• Your violation of any third-party rights
• Your use or misuse of the Service
• Your content submitted to the Service
• AI Output and anything you build, publish or deploy with the Services
• Claims by your end users, site visitors, members or anyone you share your site, app, data or AI Output with

13. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms. Upon termination:

• Your right to use the Service will immediately cease
• You must stop all use of the Service
• We may delete your account and data after 30 days
• All provisions that should survive termination shall remain in effect

14. Dispute Resolution

Arbitration

Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English and the arbitrator's decision shall be final and binding. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court for infringement or misuse of intellectual property.

Class Action Waiver

You agree to resolve disputes on an individual basis and waive your right to participate in class actions, class arbitrations, or representative actions.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the courts located in Delaware.

16. Changes to These Terms and the Privacy Policy

We may change these Terms and our Privacy Policy. This is how we will do it:

• Material changes: we will email the account owner and show a notice in the product at least 30 days before the change takes effect, and we will state the date it takes effect.
• If you keep using the Service after that date, you accept the changed Terms or Privacy Policy.
• If you do not agree, you can close your account before that date by emailing support@serenitiesai.com.
• Other changes, such as correcting a typo or making a sentence clearer, take effect when we post them.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Service, constitute the entire agreement between you and Serenities AI regarding your use of the Service.
